Thank you for your interest in CorpWizards brought to you by, Corpwizards, Inc. (“CorpWizards,” “we,” “our,” “Website” or “us”). These Terms of Service (the “Terms”) constitute a legally binding agreement between you and CorpWizards governing your access to and use of the CorpWizards website located at www.corpwizards.com (the “Site”) and CorpWizards products and services (collectively with the Site, the “Services”).

Please read the Terms of Use carefully before you start to use the Website. By using the Website or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy incorporated herein by reference. If you do not want to agree to these Terms of Use or the Privacy Policy, you must not access or use the Website.

Limitations of Use

By using this website, you warrant on behalf of yourself, your users, and other parties you represent that you will not:

1. modify, copy, prepare derivative works of, decompile, or reverse engineer any materials and software contained on this website;
2. remove any copyright or other proprietary notations from any materials and software on this website;
3. transfer the materials to another person or “mirror” the materials on any other server;
4. knowingly or negligently use this website or any of its associated services in a way that abuses or disrupts our networks or any other service CorpWizards provides;
5. use this website or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material;
6. use this website or its associated services in violation of any applicable laws or regulations;
7. use this website in conjunction with sending unauthorized advertising or spam;
8. harvest, collect, or gather user data without the user’s consent; or
9. use this website or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties.

Accounts

In order to use certain features of the Services, you must register for an account (“Account”) and provide certain information about yourself as prompted by the account registration form. You represent and warrant that: (a) all required registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information.

You are responsible for maintaining the confidentiality of your Account login information and are fully responsible for all activities that occur under your account. You agree to immediately notify CorpWizards of any unauthorized use or suspected unauthorized use of your account or any other breach of security. CorpWizards cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.

Services

You are responsible for all legal and tax-related fees and fees involved with operating an entity that we do not include in the plan that you purchase.

We will provide documents we receive throughout the process in digital form. We do not provide physical documents.

The banks that we work with are third parties, and during the bank’s application review process, we do not have control as to how they: (a) review and ultimately decide whether or not to accept your application, and (b) exactly how they underwrite you. We help throughout the process, but the final decision as to whether an account can be opened through Mercury Bank or any other institution is ultimately decided by the institution and is not within our control. We cannot make a 100% guarantee that a bank account will be opened if you work with us.

You acknowledge and agree that CorpWizards is not a law firm, nor can we offer official law or tax advice. What you see on the Site, and any of our communication over e-mail, SMS, Zoom call is purely for general and educational purposes only, and should not be taken as official legal or tax advice. If you need legal advice, you should consult with an attorney.

Payment

Unless otherwise specified, all fees are in United States dollars and all charges will be made in United States dollars. Any applicable sales or other taxes are additional to the stated fee. Currency exchange settlements and foreign transaction fees are based on your agreement with your credit card or other payment method provider.

Intellectual Property

The intellectual property in the materials contained in this website are owned by or licensed to CorpWizardsand are protected by applicable copyright and trademark law. We grant our users permission to download one copy of the materials for personal, non-commercial transitory use.

This constitutes the grant of a license, not a transfer of title. This license shall automatically terminate if you violate any of these restrictions or the Terms of Use, and may be terminated by CorpWizards at any time.

Access to Services

You must be at least 18 years old to register with us and use our services. You warrant that you have the right, authority and capacity to enter into these terms as a binding agreement.

We are unable to provide bank account opening assistance to you if you are currently residing in the following countries: Belarus, Burundi, Central African Republic, Crimea, Cuba, Democratic Republic of the Congo, Iran, Iraq, Lebanon, Liberia, Libya, Nicaragua, North Korea, Pakistan, Republic of Congo, Russia, Somalia, South Sudan, Sudan, Syria, Venezuela, Yemen, Zimbabwe.

Refunds & Cancellation

‍We stand by our services with a 30-day money back guarantee. CorpWizards will issue a full refund less any state or other third-party fees for cancellations that occur within 30 days of purchase.

We can only refund our fee for issues we are directly responsible for or have control over. If you purchase something and later change your mind, we can’t issue a refund. Below you can find the cases where refunds are applicable:

– Request before company registration has been filed (full refund possible if the registered agent has not yet submitted filing to the applicable state)

– Request after registration and before EIN has been applied for and/or IRS form SS4 has been faxed to IRS (partial refund of 50% of CorpWizards fees paid)

Once we submit any paperwork to the government on your behalf, we cannot refund any filing fees. In addition, if you purchase a product through us that is serviced by a third party, we cannot refund fees paid to those providers.

Post-Incorporation Information and Maintenance

You acknowledge that you are solely responsible for all post-incorporation maintenance, reporting, filings and other documentation necessary to maintain the company status and/or to comply with applicable federal, state or local governmental agencies or regulatory commissions regarding legal, tax or other required compliance.

CorpWizards acknowledges that it may communicate with you regarding post-incorporation maintenance.

We may send updates, notices and/or reminders to the mailing address, email address or cell phone number provided by you, or to your online account (if applicable), solely as a courtesy, and such transmission does not imply any liability on the part of CorpWizards.

We will not be liable for the following: (i) Your action or inaction in response to information provided by email, facsimile, cell phone text, telephone call, website posting, alert, or any other form of transmission or communication; (ii) your failure or inability to receive or access the information; or (iii) our decision, in our sole discretion, to cease providing such information.

CorpWizards makes no representations or warranties about the completeness or accuracy of the Information. You acknowledge that it is solely your responsibility to comply with all applicable state, local, federal and international laws.

CorpWizards has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by CorpWizards of the site. Use of any such linked website is at the user’s own risk.

Delays

Our service may be subject to limitations, delays and other problems associated with the use of the Internet and electronic communications. Our service may also be subject to shutdowns, delays and other problems associated with federal and state agencies. CorpWizards is not responsible for any delays, outages or other damages resulting from such problems.

Changes

These Terms are subject to occasional revision, and if we make any substantial changes, we may notify you by sending you an e-mail to the last e-mail address you provided to us (if any) and/or by prominently posting notice of the changes on our Services. You are responsible for providing us with your most current e-mail address. In the event that the last e-mail address that you have provided us is not valid, or for any reason is not capable of delivering to you the notice described above, our dispatch of the e-mail containing such notice will nonetheless constitute effective notice of the changes described in the notice. Any changes to these Terms will be effective upon the earlier of 10 calendar days following our dispatch of an e-mail notice to you (if applicable) or 10 calendar days following our posting of notice of the changes on our Services. These changes will be effective immediately for new users of our Services. Continued use of our Services following notice of such changes shall indicate your acknowledgment of such changes and Agreement to be bound by the terms and conditions of such changes.
